1Who we are & acceptance

YotStock ("YotStock", "we", "us", "our") is an AI-assisted procurement service for superyachts, operating under the trading name "YotStock" and contactable at hello@yotstock.com. These Terms & Conditions (the "Terms") form a binding agreement between you ("you", "the Customer", "the vessel", "User") and YotStock, and govern your access to and use of the YotStock platform at app.yotstock.com, our website, and any related services (together, the "Service").

By creating an account, signing in with an access code, or otherwise using the Service, you confirm you have authority to accept these Terms on behalf of the vessel or organisation you represent, and you agree to be bound by them and by our Privacy Policy. If you do not agree, do not use the Service.

2Definitions

3Accounts & access

3.1 Access is provided to authorised crew via private access codes. You are responsible for keeping your access code confidential and for all activity that takes place under it.

3.2 You must give accurate information and keep it current. Notify us at hello@yotstock.com if you believe an access code has been lost or misused, and we will revoke it.

3.3 The Service is for professional use by adults (18+) acting for a vessel or management company. It is not for personal or consumer use.

4Pilot / early-access service

4.1 The Service is currently offered on a pilot / early-access basis. It is provided to help you evaluate it and to help us improve it. Features may change, be added, or be withdrawn, and the Service may be unavailable from time to time.

4.2 Because the Service is at an early stage, you should not rely on it as your sole record of any procurement, financial or compliance matter, and you should keep your own records where required by the vessel's management, flag state or auditors.

5What YotStock does — and doesn't

5.1 YotStock helps crew raise procurement requests in plain language, drafts requests for quotation to suppliers, helps gather and compare the quotes returned, records approvals, and keeps a memory of what the vessel has bought. YotStock is a tool and facilitation service.

5.2 YotStock is not a chandler, broker, agent, reseller or supplier. We do not sell goods, we do not take title to any goods, and we take no markup or commission on supplier quotes. We are not a party to any contract of sale between you and a Supplier.

6Suppliers & orders

6.1 Any order you place is a contract directly between you (or the vessel) and the Supplier, on the Supplier's own terms. You are responsible for reviewing quotes, confirming specifications and part numbers, and deciding whether to proceed.

6.2 We are not responsible for a Supplier's pricing, availability, lead times, quality, delivery, or performance, nor for the accuracy of information a Supplier provides. Buying decisions and payments are yours.

6.3 The Service does not take payment for goods and does not check out on your behalf. Where the Service surfaces an external "buy-now" link, following it takes you to a third-party retailer whose own terms apply; any purchase there is between you and that retailer.

7The agent & AI outputs

7.1 The Service uses artificial intelligence to interpret requests, draft RFQs, structure specifications, rank quotes and surface suggestions. AI outputs can be incomplete or wrong.

7.2 You are responsible for reviewing every AI-generated output before relying on it — particularly for anything safety-critical, class- or flag-related, technical, or financial. Nothing produced by the Service is professional, legal, technical or financial advice.

9Your data & confidentiality

9.1 As between you and us, you retain all rights in your Customer Data. You grant us a licence to host, process and transmit it solely to provide and improve the Service and to meet our legal obligations, as described in our Privacy Policy.

9.2 We treat vessel names, owners, itineraries, pricing, crew details and supplier relationships as confidential by default. We do not sell your data and we do not use it for third-party advertising.

9.3 You are responsible for the accuracy and lawfulness of the data you enter and for having the right to share any third-party (including supplier) details you provide.

10Fees

10.1 Pilot access may be provided free of charge or on terms agreed separately in writing. Where paid subscriptions are introduced, pricing and payment terms will be published or set out in an order form and these Terms will apply alongside them.

10.2 Any fees are exclusive of VAT and other taxes, which will be added where required.

11Intellectual property

11.1 YotStock and its licensors own all rights in the Service, including its software, designs, branding, supplier network compilation and documentation. Nothing in these Terms transfers those rights to you.

11.2 Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable licence to use the Service for the vessel's internal business purposes during your access period. Feedback you give us may be used without restriction.

12Warranties & disclaimers

12.1 We will provide the Service with reasonable skill and care.

12.2 Otherwise, to the maximum extent permitted by law, the Service is provided "as is" and "as available", and we exclude all other warranties, conditions and representations, express or implied, including fitness for a particular purpose, accuracy, and uninterrupted or error-free operation.

13Limitation of liability

13.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited.

13.2 Subject to 13.1, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data, anticipated savings, goodwill or business opportunity, however arising.

13.3 Subject to 13.1, our total liability arising out of or in connection with these Terms in any 12-month period is limited to the greater of (a) the fees you paid us in that period, or (b) £100.

14Indemnity

You will hold YotStock harmless from third-party claims, losses or expenses (including reasonable legal fees) arising from your breach of these Terms, your Customer Data, or your unlawful or unauthorised use of the Service.

15Suspension & termination

15.1 Either party may end access at any time. We may suspend or withdraw access immediately if you breach these Terms or put the Service or other users at risk.

15.2 On termination, your right to use the Service ends. You may request an export of your Customer Data within 30 days, after which we may delete it in line with our retention practice.

16Changes to these terms

We may update these Terms from time to time. The "Last updated" date above will change and, for material changes, we will give reasonable notice by email or in-product notice. Continued use after changes take effect means you accept them.

17Governing law

These Terms, and any dispute arising out of or in connection with them (including non-contractual disputes), are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
